Terms of Service

1. Acceptance of Terms
By accessing or using the Nexown platform (nexown.in), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the platform. These terms apply to all users, including buyers, sellers, franchise brands, and visitors.
2. Platform Description
Nexown Technologies Pvt. Ltd. operates a business ownership marketplace that facilitates connections between buyers and sellers of businesses in India. Nexown does not act as a broker, agent, or fiduciary. All transactions are between buyers and sellers directly; Nexown provides the platform and tools to facilitate these transactions.
3. User Accounts
You must create an account to access certain features of the platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and current information during registration. Nexown reserves the right to suspend or terminate accounts that violate these terms.
4. Listings
Sellers are responsible for the accuracy of all listing information. Nexown does not independently verify all listing details unless the listing is Verified or Certified. Fraudulent or misleading listings will be removed and the responsible account suspended. Nexown reserves the right to decline, modify, or remove any listing at its sole discretion.
5. Verification Tiers
Nexown offers three verification tiers: Self Listed (no verification), Verified (identity and revenue spot-check), and Certified (CA-audited financials). Verification fees are non-refundable. Verification does not constitute a guarantee of the accuracy of all listing information or the quality of any business.
6. Commissions and Fees
Nexown charges commissions on successful deal closures as described on the Pricing page. Commission is deducted automatically from escrow at the time of release. Listing and verification fees are non-refundable. Nexown reserves the right to change its fee structure with 30 days' notice.
7. Escrow
Nexown uses third-party payment processors (currently Razorpay) to hold escrow funds. Nexown is not a financial institution and does not hold funds in its own accounts. The escrow terms are governed by the payment processor's terms of service in addition to these terms. Disputes regarding escrow release must be raised within 30 days of the escrow being funded.
8. NDAs and Confidentiality
When a buyer signs an NDA on the platform, they agree to maintain the confidentiality of all financial information disclosed by the seller. Breach of the NDA may result in account termination and legal liability. Nexown reserves the right to share NDA breach information with the affected seller.
9. Prohibited Conduct
Users may not: (a) post false or misleading information; (b) use the platform to facilitate fraud; (c) circumvent Nexown's commission by transacting off-platform; (d) harvest other users' contact information; (e) use the platform for any unlawful purpose.
10. Limitation of Liability
Nexown is not liable for the accuracy of any listing information, the conduct of any user, or the outcome of any transaction. Nexown's total liability to any user shall not exceed the fees paid by that user to Nexown in the 12 months preceding the claim. Nexown is not liable for indirect, incidental, or consequential damages.
11. Intellectual Property
All platform content, branding, and software is the property of Nexown Technologies Pvt. Ltd. Users retain ownership of content they upload (listing photos, descriptions, documents) but grant Nexown a licence to display that content on the platform.
12. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
13. Changes to Terms
Nexown may update these terms at any time. We will notify users of material changes by email or via in-app notification. Continued use of the platform after the effective date of any changes constitutes acceptance of the updated terms.
